Standard Terms and Conditions of Sale
1 Definitions For the purpose of these Standard Terms and Conditions of Sale
(a) “The Company” means High-Torque
(b) “The Buyer” means the person, firm or company who places an order with the Company which the Company accepts
(c) “Goods” means the products manufactured or sold by the Company and which are the subject of the order placed by the Buyer and accepted by the Company
2 Orders. No conditions or stipulations in or attached to the Buyers form of order which are inconsistent with the Company’s Terms and Conditions of Sale or which purport to add to them or modify them in any way shall have any effect unless expressly accepted by the Company. In the absence of such acceptance by the Company the Buyer shall be deemed to have withdrawn or waived his said conditions or stipulations and to contract solely on the basis of the Company’s Terms and Conditions of Sale. No person other than Malcolm Aitken Snr has authority to vary these Standard Terms and Conditions of Sale.
3 Limit of Contract. The contract shall only include such goods or work as are expressly specified in the contractual documents, illustrations and descriptions given in advertisements or printed literature are for information only and form no part of the terms of the contract.
4 (a) Changes in specification. The Company’s policy is one of continuous improvement. It therefore shall be entitled without notice to make changes in dimensions, materials and design which it thinks reasonable or desirable, without affecting the validity of the contract. The Buyer shall have no cause of action in respect of any such change.
(b) The Company shall supply, if necessary, a Manual, or other relevant information or advice relating to the goods supplied, their maintenance and proper method of use, which information and advice shall hereby be deemed to have been communicated to the buyer, his employees, servants, agents or persons using the goods with his permission
5 Price. Unless otherwise stated, all prices for Goods are “ex-works” and include where applicable VAT (EEC) or local sales taxes (USA) at the relevant rate.
6 Settlement Terms. Unless otherwise expressly stated in the contractual documents.
(a) No discount shall be allowed from the contract price.
(b) The full price shall be payable in advance, in the invoiced currency at the Company’s Office against the Company’s invoice or advice that the goods are ready for dispatch.
(c) Payment may be made by Paypal, Mastercard, Visa card, Moneybookers, check or cash.
7 Carriage. The goods will be dispatched using Royal Mail (UK), USPS (USA), or, by arrangement, other means agreed with and paid for by the customer
8 Errors. Any manifest clerical, typographical or calculating error shall be subject to correction.
9 Headings. The headings of the Clauses of these Standard Terms and Conditions of Sale are for the convenience of reading and reference only and shall not affect interpretation of such Terms and Conditions in any way nor the rights and liabilities of the parties thereunder.
